Purpose

  • The purpose of this Dispute Resolution Policy is to establish a fair and efficient process for resolving disputes that may arise between Universal Hub and its customers, partners, or other stakeholders in the context of e-commerce transactions. 

Scope

  • This policy applies to all disputes that may arise in connection with the use of Universal Hub’s e-commerce services, including but not limited to:

    • Disputes between Universal Hub and its customers
    • Disputes between Universal Hub and its partners
    • Disputes between Universal Hub and its stakeholders

Principles

The following principles shall guide the resolution of disputes under this policy:

    • Fairness: The dispute resolution process shall be fair and impartial.
    • Efficiency: The dispute resolution process shall be efficient and timely.
    • Transparency: The dispute resolution process shall be transparent and open to all parties involved.
    • Cost-effectiveness: The dispute resolution process shall be cost-effective and minimize the financial burden on all parties involved.

Dispute Resolution Process

The dispute resolution process shall consist of the following steps:

  1. Initial Contact: The parties involved in the dispute shall attempt to resolve the dispute through initial contact and communication.
  2. Mediation: If the dispute cannot be resolved through initial contact, the parties shall engage in mediation to resolve the dispute.
  3. Arbitration: If the dispute cannot be resolved through mediation, the parties shall engage in arbitration to resolve the dispute.
  4. Court Action: If the dispute cannot be resolved through arbitration, the parties shall engage in court action to resolve the dispute.

Mediation

  • Mediation shall be conducted by a neutral third-party mediator who shall facilitate the negotiation process between the parties. The mediator shall not have any vested interest in the outcome of the dispute and shall maintain confidentiality throughout the mediation process.

Arbitration

Arbitration shall be conducted by a neutral third-party arbitrator who shall make a binding decision on the dispute. The arbitrator shall be chosen by the parties or, if the parties cannot agree, by the dispute resolution service provider.

Court Action

If the dispute cannot be resolved through arbitration, the parties shall engage in court action to resolve the dispute. The court shall have jurisdiction over the dispute and shall make a binding decision on the dispute.

Costs and Fees

The costs and fees associated with the dispute resolution process shall be borne by the parties involved in the dispute. The parties shall agree on the costs and fees in advance and shall be responsible for paying their respective shares of the costs and fees.

Confidentiality

The dispute resolution process shall be confidential and shall not be disclosed to any third-party without the consent of all parties involved in the dispute.

Review and Revision

This policy shall be reviewed and revised as necessary to ensure that it remains effective and efficient in resolving disputes.

Effective Date

This policy shall be effective as of the date of its adoption and shall apply to all disputes arising on or after that date.

Acknowledgement

By using Universal Hub’s e-commerce services, the parties involved in the dispute acknowledge that they have read, understood, and agreed to be bound by this Dispute Resolution Policy.

Consent

The parties involved in the dispute consent to the jurisdiction of the dispute resolution service provider and to the binding nature of the decision made by the arbitrator or the court.

Governing Law

This policy shall be governed by and construed in accordance with the laws of Kenya

Entire Agreement

This policy constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or understandings.

Amendments

This policy may be amended or modified by Universal Hub at any time without notice. The parties involved in the dispute shall be bound by the amended or modified policy.

Waiver

The failure of any party to enforce any provision of this policy shall not be deemed a waiver of that provision or of any other provision of this policy.

Severability

If any provision of this policy is held to be invalid or unenforceable, the remaining provisions of this policy shall remain in full force and effect.
